Please confirm whether the firm drafts it in-house or uses an attorney. • Registration with the Master of the High Court: lodging the deed, the trustees' acceptance forms, any security or bond-of-security waiver, and obtaining the Letters of Authority. • Beneficial ownership register: setting up the trust's register and lodging it with the Master, as required since the anti-money-laundering amendments. • SARS registration of the trust for income tax, plus registering a representative taxpayer. • FICA documentation and bank account opening support for the trust. • Loan agreements: drafting written loan agreements between you and the trust, and between the trust and the company, so the funding is documented from day one. • SARS e-Filing profile set up for the trust, with the firm registered as tax practitioner. 2. Once-off setup: The Company • CIPC registration of the (Pty) Ltd, with a Memorandum of Incorporation suited to a trust shareholder. • Share issue to the trust: share certificates, securities register and directors' resolutions. • Beneficial ownership filing with CIPC, which "looks through" the trust to the natural persons behind it. • SARS registrations: income tax, and VAT if relevant. Residential letting is VAT-exempt, but commercial property with taxable supplies over R1 million a year requires VAT registration. • Registering a public officer with SARS. • Appointment of directors and of an accounting officer or independent reviewer, as the company's size requires. • SARS e-Filing profile for the company, and employer registration (PAYE, UIF, SDL) if the company will pay salaries or directors' fees. 3. Annual recurring services: the company • Monthly or quarterly bookkeeping, including rental income, expenses, bond interest, and loan accounts. • Annual financial statements. Please confirm whether our Public Interest Score requires a compilation, an independent review or an audit. • ITR14 company tax return and provisional tax returns (IRP6, twice a year, plus an optional top-up). • VAT returns, if registered. • Dividends tax returns when dividends are declared to the trust. • CIPC annual returns and updates to the beneficial ownership register. • Company secretarial work: minutes, resolutions, and statutory registers. • Tax allowances on property, for example section 13sex for qualifying residential units. • Management accounts per property (quarterly or bi-annually), so you can see rental yield and costs per unit. • Payroll and EMP/EMP submissions if the company has employees or pays directors' fees. • Tax compliance status (TCS) PIN kept in good standing, which banks often ask for with bond applications. • Capital gains tax calculations and base-cost records when a property is sold. 5. Annual recurring services: the trust • Trust financial statements and accounting records. • ITR12T trust tax return and IT3(t) third-party data submissions. • Provisional tax returns for the trust (IRP6) since trusts are provisional taxpayers. • Trustee resolutions and minutes, especially for distributions and vesting decisions. • Section 7C loan calculations and the related donations tax returns. • Annual updates to the beneficial ownership register. • Beneficiary tax certificates and distribution schedules. • Donations tax returns (IT) for any donations made to the trust, beyond those triggered by section 7C. • Trust bookkeeping, including bank reconciliations, dividends received from the company and loan account movements. • Tax compliance status (TCS) PIN for the trust. • Coordinating the annual trustee meeting with the independent trustee. 6. Independent trustee: • Fee basis: A fixed annual or monthly cost. • What the fee should cover: - the number of trustee meetings, signing documents, reviewing transactions, and approving property purchases or bond applications. • Ad hoc charges, such as extra meetings, surety signatures, or urgent approvals. • Who the trustee is: their professional body (SAICA, SAIPA, or the Fiduciary Institute of Southern Africa), and whether a named person or a firm employee serves. • Professional indemnity and fidelity insurance cover. • Exit terms: notice period and fees for resignation or replacement. 7. General • Fees inclusive or exclusive of VAT. • Hourly rates for work outside the scope, such as SARS audits, verification, or new property acquisitions. • Fee escalation policy. • Do you offer a bundled package for the trust and company together. • Turnaround time for setting up the trust since Master's Office delays can run to several weeks.
